LATCH End User License

These public terms apply to the self-hosted LATCH evaluation and personal-use runtime sold through Gumroad unless you have a separate signed commercial agreement with CoDynamics Lab.

By purchasing, activating, downloading, or running the public self-hosted LATCH runtime, you agree to these terms. If you need company-operated production rights, SaaS rights, or redistribution rights, contact mike@codynamicslab.com for a commercial license instead of using the public evaluation tier.

1. License Grant

CoDynamics Lab grants you a limited, non-exclusive, non-transferable, revocable license to run the purchased LATCH runtime for your own personal or evaluation use. The public self-hosted license is intended for one natural person and may be activated on up to three systems under that same operator’s control.

2. What This Public License Allows

  • Running the Dockerized LATCH runtime on infrastructure you control.
  • Evaluating LATCH against your own private documents and workflows.
  • Using the runtime for internal testing, technical diligence, benchmarking, and operator evaluation.
  • Receiving updates, fixes, and feature additions included with the purchased major version, subject to the product policy stated on the site at time of purchase.

3. What This Public License Does Not Allow

You may not, under the public evaluation/personal license:

  • redistribute, sublicense, resell, lease, or transfer the runtime, license key, or activation token to another party;
  • embed LATCH inside software or services delivered to your own customers;
  • operate LATCH as a commercial hosted service, paid API, managed offering, or third-party production workflow for customers or clients;
  • ship the Docker image or equivalent runtime artifacts as part of another product;
  • share one license across multiple unrelated operators or organizations;
  • circumvent activation, entitlement, or license enforcement mechanisms.

If the project moves beyond evaluation and becomes part of a real business workflow, that is the point where a commercial or enterprise license is required.

4. Proprietary Technology

LATCH contains proprietary inference, compilation, runtime, and model-integration mechanisms. You may not reverse engineer, decompile, disassemble, extract, or attempt to derive source code, model weights, internal runtime components, or proprietary methods except to the narrow extent a non-waivable law expressly requires. You may not remove copyright notices, license markers, or other proprietary designations.

5. Ownership

CoDynamics Lab retains all right, title, and interest in and to LATCH, including the runtime, packaging, documentation, activation mechanisms, and all related intellectual property. This license grants usage rights only. It does not transfer ownership of the software or of any proprietary model/runtime components included with it.

6. Support, Updates, and Commercial Upgrades

The public self-hosted license may include updates and direct operator support as described on the product page, but no guaranteed SLA is provided under this public tier. CoDynamics Lab may offer upgraded commercial or enterprise terms that replace this public license for customers operating LATCH in production, in company workflows, or in embedded deployments.

7. Termination

This license terminates automatically if you violate these terms. Upon termination, you must stop using the public runtime, destroy unauthorized copies in your control, and stop using any license material tied to the terminated entitlement. CoDynamics Lab may suspend or revoke activation for misuse, fraud, or unauthorized commercial deployment.

8. Warranty and Liability

LATCH is provided “as is” and “as available,” without warranties of any kind to the maximum extent permitted by law. CoDynamics Lab does not promise uninterrupted operation, suitability for a particular workflow, or error-free performance under every environment. To the maximum extent permitted by law, CoDynamics Lab will not be liable for indirect, incidental, special, consequential, or exemplary damages arising from use of the software.
